In a statement issued on Wednesday, November 4, 2026, the ORC explained that the two groups of companies were at different stages of the statutory strike-off process.

The Office of the Registrar of Companies (ORC) has initiated processes to remove 453 companies from Ghana's Companies Register, while announcing that another 323 companies have already been struck off and dissolved.

The development affects a total of 776 companies under separate regulatory actions taken pursuant to Section 289 of the Companies Act, 2019 (Act 992).

In a statement issued on Wednesday, November 4, 2026, the ORC explained that the two groups of companies were at different stages of the statutory strike-off process.

While the first group of 453 companies has been given notice of the Registrar's intention to remove their names from the register, the second group of 323 companies has already completed the process and stands dissolved.

According to the Registrar, the proposed removal of the 453 companies was published in Volume 48 of the ORC Companies Bulletin on October 15, 2026, in accordance with Section 289(3) of Act 992.

The provision requires that the affected companies be given three months' notice before their names can be struck off the register.

During this period, the companies or other interested parties may show cause why the proposed removal should not proceed.

The ORC indicated that unless sufficient cause is shown within the prescribed period, the companies will be removed from the register in accordance with the law.

In a separate notice, the Registrar confirmed that 323 other companies had already been struck off following the expiration of an earlier statutory notice period.

The intention to remove those companies was previously published in Volume 40 of the ORC Companies Bulletin.

However, according to the Registrar, the prescribed period expired without cause being shown against their removal.

Consequently, their names were struck off the register, with the dissolution subsequently published in Volume 49 of the bulletin, dated October 15, 2026.

The ORC explained that the affected companies now stand dissolved under Section 289(5) of the Companies Act, 2019.

The notices are relevant not only to the companies concerned but also to shareholders, creditors and other persons who may have dealings or outstanding interests in the affected entities.

The development highlights the legal distinction between a company that has received notice of an intended strike-off and one whose name has already been removed from the register.

For the 453 companies, the statutory process is still ongoing, and the opportunity to show cause against their proposed removal remains available within the prescribed period.

The position is different for the 323 companies, whose dissolution has already been formally announced by the Registrar.

The ORC's announcement forms part of its statutory responsibility for maintaining and updating Ghana's Companies Register in accordance with the Companies Act.
