Castel Group has officially acquired Guinness Ghana Breweries Limited (GGBL), securing full ownership of Diageo’s stake in the company.
The deal, approved by the ECOWAS Regional Competition Authority, involves the purchase of 247.3 million ordinary shares from Diageo at GH¢5.15 per share, based on a share purchase agreement signed on January 28, 2025.
Ordinarily, such a transaction would trigger the mandatory takeover rule under Ghana’s Securities and Exchange Commission (SEC) Code on Takeovers and Mergers (2008), which requires the acquirer to extend an offer to other shareholders.
However, Castel Group has been granted an exemption from this rule, following a formal request that outlined its long-term strategic vision for growing Guinness Ghana. The SEC approved the exemption on July 3, 2025, which means Castel will not be required to buy out the remaining shareholders.
With this acquisition, Castel strengthens its footprint in Ghana’s beverage industry while Guinness Ghana enters a new chapter under the banner of a leading pan-African brewing giant.
