A comprehensive new book offering an in-depth analysis of Ghana’s company law in alignment with international best practices has been unveiled in Accra.
Authored by a distinguished nine-member team of experts—some with over five decades of experience in corporate law—the book serves as a crucial resource for professionals, scholars, and business leaders navigating the complexities of company law.
Nicknamed “The Blue Book,” the first volume, titled Companies, Corporate Insolvency & Restructuring in Ghana, spans 22 chapters and provides clarity on fundamental corporate issues.
It delves into intricate topics such as company incorporation, corporate governance, shareholder rights, litigation, capital maintenance, restructuring, and insolvency, making these subjects accessible to readers.
The Vision Behind the Book
The idea for the book was conceived by retired Supreme Court Justice Professor Samuel Kofi Date-Bah, who led the editorial team. His vision was shaped by his role as Chair of the Business Law Reform Committee, which influenced the drafting of the Companies Act, 2019.
The project also benefited from the expertise of co-editor Ace Anan Ankomah, a legal practitioner and company law lecturer at the University of Ghana Business School. Other contributors include Professor A.K. Fiadjoe, Professor P. Bondzi-Simpson, the late Felix Ntrakwah, and Felix Addo, an accountant. Also lending their expertise were Jemima Mamaa Oware, Registrar of Companies; Domtie Sarpong, Principal State Attorney; and Felix Awuah, a non-practicing solicitor of the Senior Courts of England and Wales.
A Transformative Resource for Corporate Ghana
The book’s launch saw an impressive show of support, with the first copy purchased for GHC 100,000.
Speaking at the event, Chief Justice Gertrude Sackey Torkornoo, represented by Justice Afia Serwah Asare-Botwe, described the book as a “transformative tool” for Ghana’s legal and corporate environment. She emphasized its role in demystifying corporate insolvency and restructuring, key factors influencing business stability and economic resilience.
The book captures the evolution of company law in Ghana, tracing its roots from colonial influences to modern legislative reforms. It does not merely replicate foreign legal doctrines but contextualizes them within Ghana’s unique socio-economic landscape, addressing real-world concerns faced by judges, lawyers, and business executives.
A Lasting Legacy for Legal and Business Communities
Chairing the event, Omanhene of Asante Asokore, Professor Nana S.K.B. Asante, described the book as an invaluable legacy that would shape the country’s corporate and legal sectors for years to come.
He strongly recommended it to lawyers, students, entrepreneurs, investors, policymakers, and corporate executives, underscoring its importance for anyone involved in the business and legal spheres.
The President of the Ghana Bar Association (GBA), Efua Ghartey, echoed similar sentiments, highlighting the book’s contribution to advancing legal scholarship in Ghana.
With its meticulous research and expert insights, Companies, Corporate Insolvency & Restructuring in Ghana is poised to become an essential reference for corporate law in Ghana, guiding businesses, legal practitioners, and policymakers toward a more structured and progressive corporate environment.
