Ghana’s Registrar of Companies has rolled out a revised penalty framework targeting entities that failed to file their annual returns by the end of June 2025.

The Office of the Registrar of Companies (ORC) in Ghana has announced an updated penalty structure for businesses that failed to meet the 30th June 2025 deadline for filing their annual returns.

This follows a previous notice issued on 29th May 2025, in which the ORC stated that no further extensions would be granted.

In a statement signed by Acting Registrar of Companies, Mrs. Maame Serwaa Peprah, the ORC reaffirmed its commitment to maintaining a Companies Register that contains only active and compliant businesses.

The move is part of efforts to enhance corporate governance and accountability within the business environment.

Under the new enforcement policy, companies that are in default of their statutory filing obligations will face monetary penalties based on the duration of their non-compliance.

Businesses that have failed to file their annual returns for between one to four years will be required to pay a penalty of GHS 1,000. Those in default for five years or more will be subject to a GHS 2,000 penalty.

The ORC emphasized that the new penalty structure applies to all incorporated entities that missed the June deadline. The Office encouraged defaulting companies to regularize their status promptly to avoid further sanctions, including the potential risk of being removed from the official Companies Register.

Entities seeking clarification or further information have been directed to contact the ORC through its official phone lines, WhatsApp, Telegram, or social media platforms.
