This announcement follows media reports speculating about Kosmos's interest in making an all-share bid for Tullow Oil plc.

Tullow Oil has confirmed that it is in early-stage talks with U.S.-based Kosmos Energy regarding a potential all-share acquisition that could significantly impact oil production in West Africa.

This announcement follows media reports speculating about Kosmos's interest in making an all-share bid for Tullow Oil plc. However, Tullow emphasized in its statement that no formal offer has been made, and there is no guarantee that an agreement will be reached or what the terms might involve.

In accordance with the City Code on Takeovers and Mergers, Kosmos has until 5:00 p.m. on January 9, 2025, to either declare its intent to make an offer or confirm that it will not proceed. This deadline can be extended with approval from the Panel on Takeovers and Mergers.

Both companies are grappling with considerable debt, making the potential merger particularly noteworthy. Tullow, valued at $480 million, carries a net debt of approximately $1.4 billion and has been facing operational hurdles while adapting to the global energy transition. Meanwhile, Kosmos, with a market valuation of $1.5 billion and net debt of $2.7 billion, is set to benefit from the imminent launch of the Tortue LNG project, located off the coasts of Senegal and Mauritania.

If the merger materializes, the combined company will achieve a production capacity of over 130,000 barrels of oil equivalent per day (boepd), drawing from assets spread across Ghana, Senegal, Mauritania, Equatorial Guinea, and the U.S. Gulf of Mexico. The merger could yield economies of scale, streamlining operations and reducing costs, especially in their shared West African assets, including Ghana’s Jubilee and TEN oilfields.

The discussions also align with significant leadership changes at Tullow. CEO Rahul Dhir stepped down on December 4, 2024, leaving the company in a transitional phase, potentially creating an opening for strategic decisions such as this merger.

Market responses have been mixed, with Tullow's shares dropping over seven percent and Kosmos's shares declining by around 15 percent following the announcement.
